Terms of Service

01. General Provisions

These Terms of Service ("Terms") govern all sales and contracts between TwinkleTree Manufacturing Co., Ltd. ("Seller", "We") and the business entity purchasing products ("Buyer", "You").

B2B Only: By placing an order, you confirm that you are purchasing for commercial purposes (resale, commercial installation, or business use) and not for personal household consumption.

02. Orders & MOQ

• Order Acceptance: All orders are subject to acceptance by the Seller. A Proforma Invoice (PI) will be issued to confirm the order details.
• Minimum Order Quantity (MOQ):
  • Standard Items: Typically 50 cartons per SKU.
  • Custom Items (OEM): MOQ depends on material requirements, typically 100-300 units.
  • Total Order Volume: We strongly recommend a minimum of one 20GP container to ensure shipping cost-efficiency.
• Cancellation: Orders cannot be cancelled once production has started (typically 3 days after deposit receipt) without the Seller's written consent and payment of incurred costs.

03. Pricing & Payment

Standard Payment Terms:

• T/T (Telegraphic Transfer): 30% deposit to start production, 70% balance before shipment or against copy of B/L.
• L/C (Letter of Credit): Irrevocable L/C at sight is accepted for orders exceeding $50,000 USD.

04. Shipping & Incoterms

Trade terms are interpreted in accordance with Incoterms® 2020.

• FOB Free On Board (Ningbo/Shanghai): Seller handles export clearance and loading. Buyer is responsible for ocean freight and insurance.
• EXW Ex Works (Jinhua Factory): Buyer arranges pick-up from our factory floor.
• CIF Cost, Insurance & Freight: We can arrange freight to your destination port upon request.

05. Quality & Claims

We adhere to strict quality control based on AQL 2.5 (Major) / 4.0 (Minor) standards.

• Inspection: Buyer has the right to inspect goods before shipment (at factory) at their own expense.
• Warranty:
  • Structure (Metal Frame): 2-Year Manufacturer Warranty.
  • Lighting (LEDs): 1-Year Warranty.
• Claims: Any claims regarding quality or quantity must be made in writing within 14 days of cargo arrival at the destination port, accompanied by photos/videos.

06. Intellectual Property

OEM/Custom Orders: If we manufacture products based on Buyer's design, Buyer warrants that they hold the necessary IP rights and indemnifies Seller against any infringement claims.

Seller's Designs: All designs, molds, and images provided by TwinkleTree remain the intellectual property of the Seller and may not be copied without permission.
